Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (the "Client", "you", "your") and ITLink Business Solutions (S) Pte Ltd, operating under the brand name "PixelCraftrs" ("PixelCraftrs", "we", "us", "our"), a company registered in Singapore.

By signing a service agreement, making a payment, or otherwise engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

These Terms apply to all website design, development, SEO, content creation, social media management, hosting, and maintenance services provided by PixelCraftrs.

2. Definitions

  • "Project" means the specific website design, development, or digital marketing work described in your service agreement or proposal.
  • "Deliverables" means all work product, including designs, code, content, and other materials created by PixelCraftrs for your Project.
  • "Website" means the website(s) designed, developed, or maintained by PixelCraftrs for you.
  • "Retainer" means the ongoing monthly subscription for hosting, maintenance, and/or content services.
  • "Staging Site" means a preview version of your Website hosted on our servers for your review before launch.
  • "Launch" means the deployment of your Website to your live domain, accessible to the public.

3. Services

3.1 Service Packages

PixelCraftrs offers the following service packages:

Website Starter (Package 1): Custom website design, development, copywriting, on-page SEO, Google My Business setup, Google Analytics setup, and hosting.

Website + Content (Package 2): Everything in Package 1, plus 2 SEO-optimized blog posts per month.

Social Media Management Add-On: 8 posts per month across 2 social media platforms.

3.2 Project Timeline

Standard website projects are completed within approximately 21 calendar days from contract signing, subject to timely provision of required materials and feedback from the Client. The timeline includes:

  • Days 1-3: Discovery and content gathering
  • Days 4-7: Design mockups and revisions
  • Days 8-10: Design approval and payment
  • Days 11-17: Development
  • Days 18-20: Client review
  • Day 21: Launch

3.3 Revisions

Each Project includes two (2) rounds of design revisions during the design phase. A "revision round" consists of consolidated feedback addressed in a single update. Additional revision rounds may be purchased at SGD $150 per round.

Revisions do not include:

  • Changes to the agreed scope or sitemap
  • Addition of new pages or features
  • Complete redesigns or changes in direction after design approval
  • Requests made after website launch

4. Payment Terms

4.1 Payment Model

PixelCraftrs operates on a "See First, Pay Later" model for new clients. This means:

  • No upfront deposit is required to begin work.
  • Full payment of the one-time project fee is due upon design approval, before website launch.
  • Monthly retainer payments begin upon website launch.

4.2 Pricing

Current pricing (in Singapore Dollars, SGD):

  • Package 1 (Website Starter): SGD $3,000 one-time + SGD $200/month retainer
  • Package 2 (Website + Content): SGD $3,500 one-time + SGD $500/month retainer
  • Social Media Add-On: SGD $500/month

4.3 Payment Methods

All payments are processed via Stripe. We accept major credit cards, debit cards, and other payment methods supported by Stripe. Payment links will be provided upon design approval and for monthly retainer charges.

4.4 Late Payment

If payment for the one-time project fee is not received within 7 days of design approval:

  • The project will be placed on hold.
  • The Website will not be launched.
  • PixelCraftrs reserves the right to allocate resources to other projects.

If monthly retainer payments are not received within 3 days of the due date:

  • A reminder notice will be sent.
  • After 7 days overdue, website services may be suspended.
  • Suspended websites may be taken offline until payment is received.

4.5 Refunds

As our model requires payment only after you have seen and approved the design work:

  • Refunds are generally not provided once the project fee has been paid and work continues toward launch.
  • If you cancel before design approval, no payment is required, and no refund is applicable.
  • Monthly retainer fees are non-refundable once the billing period has commenced.

5. Client Responsibilities

To ensure successful project delivery, you agree to:

5.1 Provide Materials

  • Complete the website questionnaire within 48 hours of receiving it.
  • Provide all required content, images, logos, and brand assets within the agreed timeline.
  • Ensure all materials provided are accurate and you have the right to use them.

5.2 Provide Timely Feedback

  • Review and provide consolidated feedback on design mockups within 3 business days.
  • Review the staging site and provide final feedback within 3 business days.
  • Delays in feedback may extend the project timeline accordingly.

5.3 Communication

  • Respond to communications (WhatsApp, email) within 2 business days.
  • Designate a single point of contact authorized to make decisions.

5.4 Access and Credentials

  • Provide necessary access to domain registrar, existing hosting, or other platforms as required.
  • Provide login credentials for social media accounts if using the Social Media Add-On.

5.5 Content Accuracy

  • Verify that all content published on your Website is accurate and lawful.
  • Ensure compliance with applicable laws regarding your industry or profession.

6. Project Delays and Unresponsive Clients

If you become unresponsive or fail to provide required materials or feedback:

  • Day 3: We will send a reminder via WhatsApp.
  • Day 5: We will send a reminder via email and WhatsApp.
  • Day 7: We will send a formal "Project On Hold" notice.
  • Day 14: The project may be paused indefinitely. A restart fee of SGD $500 may apply to resume work.

Projects paused for more than 30 days may be subject to re-scoping and additional charges to account for changes in availability and resources.

7. Intellectual Property

7.1 Your Content

You retain ownership of all content, images, logos, and materials you provide to us ("Client Content"). You grant PixelCraftrs a non-exclusive license to use Client Content solely for the purpose of delivering the Services.

7.2 Our Deliverables

Upon receipt of full payment for the project fee, ownership of custom Deliverables created specifically for your Project (including design files, custom code, and written content) transfers to you, subject to the following:

  • PixelCraftrs retains the right to use the Deliverables in our portfolio, case studies, and marketing materials.
  • Any third-party assets (stock images, fonts, icons) remain subject to their respective licenses.
  • Generic code, templates, or frameworks used across multiple projects remain the property of PixelCraftrs.

7.3 Pre-Payment

Until full payment is received, all Deliverables remain the sole property of PixelCraftrs. The staging site and all design work are provided for preview purposes only and may not be copied, reproduced, or used without our written consent.

7.4 Portfolio Rights

You agree that PixelCraftrs may display your completed Website and related materials in our portfolio, website, social media, and marketing materials. If you require confidentiality, please notify us in writing before project commencement.

8. Hosting and Maintenance

8.1 Hosting Services

As part of your monthly retainer, PixelCraftrs provides:

  • Website hosting on our chosen platform (Cloudflare Pages or Netlify)
  • SSL certificate (HTTPS security)
  • Content delivery network (CDN) for fast global access
  • Regular backups of your website
  • Uptime monitoring

8.2 Maintenance Services

Monthly retainer includes:

  • Package 1: Up to 2 small content updates per month
  • Package 2: Up to 4 content updates per month, plus 2 blog posts
  • Security updates and patches
  • Technical support via WhatsApp and email

8.3 Service Limitations

Monthly maintenance does not include:

  • Major design changes or redesigns
  • Addition of new pages or features
  • Third-party integrations not in the original scope
  • E-commerce functionality (unless separately agreed)
  • Custom development work

8.4 Uptime

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We are not liable for downtime caused by third-party hosting providers, DNS issues, or circumstances beyond our control.

9. Domain Names

Regarding domain names for your Website:

  • If PixelCraftrs purchases a domain on your behalf, ownership will be transferred to you upon full payment.
  • If you provide an existing domain, you retain ownership and are responsible for renewals.
  • Domain registration fees are separate from our service fees unless otherwise stated.
  • Until full payment is received, PixelCraftrs retains control of any domain we have purchased on your behalf.

10. Termination

10.1 Termination by Client (Before Design Approval)

You may terminate the project at any time before design approval without payment obligation. All work completed to that point remains the property of PixelCraftrs.

10.2 Termination by Client (After Design Approval)

If you terminate after design approval and payment has been made, no refund will be provided for the project fee. If you have paid but wish to terminate before launch, Deliverables completed to that point will be provided.

10.3 Termination of Retainer

Either party may terminate the monthly retainer with 30 days written notice. Upon termination:

  • Hosting services will continue until the end of the paid billing period.
  • We will provide a backup of your website files and assist with migration if requested.
  • Domain transfer assistance will be provided if we hold the domain on your behalf.

10.4 Termination by PixelCraftrs

We may terminate our services if:

  • Payment is overdue by more than 30 days.
  • You breach these Terms and fail to remedy the breach within 14 days of notice.
  • You engage in illegal, fraudulent, or unethical activities.
  • Your website content violates applicable laws or our acceptable use policies.

11. Limitation of Liability

11.1 Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, except as expressly stated in these Terms. We do not warrant that:

  • Your website will achieve specific search rankings or business results.
  • Services will be uninterrupted or error-free.
  • All defects will be corrected.

11.2 Limitation of Liability

To the maximum extent permitted by Singapore law, PixelCraftrs's total liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you in the 12 months preceding the claim.

We shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, business opportunities, or goodwill.
  • Damages arising from third-party services, hosting providers, or payment processors.
  • Security breaches or data loss beyond our reasonable control.

11.3 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet service failures.

12. Indemnification

You agree to indemnify, defend, and hold harmless PixelCraftrs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your breach of these Terms.
  • Your use of our services.
  • Content you provide that infringes third-party rights.
  • Your violation of applicable laws or regulations.
  • Any dispute between you and your customers or third parties.

13. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of our engagement. This includes business strategies, pricing, technical information, and client data.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.

14. Acceptable Use

You agree not to use our services to create or host websites that:

  • Contain illegal, harmful, threatening, abusive, or defamatory content.
  • Infringe intellectual property rights of others.
  • Distribute malware, viruses, or harmful code.
  • Engage in phishing, scams, or fraudulent activities.
  • Violate applicable laws or regulations in Singapore or your jurisdiction.
  • Promote violence, discrimination, or hatred.

PixelCraftrs reserves the right to refuse service or take down any website that violates this policy.

15. Dispute Resolution

Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If negotiation fails, the dispute shall be submitted to mediation administered by the Singapore Mediation Centre before either party may pursue other legal remedies.

If mediation is unsuccessful, disputes shall be resolved by the courts of Singapore, and both parties consent to the exclusive jurisdiction of Singapore courts.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

17. General Provisions

17.1 Entire Agreement

These Terms, together with any service agreement, proposal, or statement of work, constitute the entire agreement between you and PixelCraftrs regarding the subject matter hereof.

17.2 Amendments

We may update these Terms from time to time. Material changes will be communicated to active clients via email. Continued use of our services after changes constitutes acceptance of the updated Terms.

17.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17.4 Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.5 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor in the event of a merger, acquisition, or sale of assets.

17.6 Notices

All notices under these Terms shall be in writing and sent via email or WhatsApp to the contact information provided. Notices are deemed received upon delivery.

19. Acknowledgment

By signing a service agreement or otherwise engaging PixelCraftrs's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
